Public offer

This document is a public offer by the Seller — the ElectroEU online store (the electroeu.com website) — to conclude a contract of sale of goods on the terms set out below, in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine.

This is an English translation provided for convenience. In case of any discrepancy the Ukrainian version of the document prevails.

1. Terms

  • Seller — the ElectroEU online store, which sells goods through the electroeu.com website.
  • Buyer — an individual or a legal entity that has placed an order on the website or has stated an intention to buy goods.
  • Website — the online store at electroeu.com.
  • Goods — new or used industrial equipment and components shown in the catalog of the Website.
  • Order — the Buyer’s request to buy the selected goods, placed on the Website.
  • Consumer — an individual who buys Goods for purposes outside their trade, business or profession.
  • Business Buyer — a company, or an individual acting for business purposes, who confirms when placing the Order that they buy as a business.

2. Subject of the contract

  • The Seller undertakes to transfer the Goods to the Buyer as property, and the Buyer undertakes to accept them and pay for them on the terms of this contract.
  • The contract is considered concluded from the moment the Buyer places the Order on the Website and the Seller confirms it (by phone or in writing). Placing an Order means the Buyer’s full agreement with the terms of this offer.
  • Photos, descriptions and specifications of the Goods on the Website are for information. The Seller confirms the final composition and the scope of delivery when agreeing the Order.

3. Placing an order

  • The Buyer adds Goods to the cart and enters a name, a phone number and a delivery method (an email, another recipient and a comment — if needed).
  • The Seller contacts the Buyer and confirms the availability of the Goods, the delivery and the payment method.
  • On the Website a Good has the status “in stock” or “out of stock”; the stock quantity is not shown. The supply time of made-to-order Goods is agreed with the Buyer when the Order is confirmed.
  • If a Good is not available, the Seller may offer the Buyer an equivalent or cancel the Order. Money paid for a Good that is not available is returned to the Buyer.

More on the “Delivery and payment” page.

4. Price and payment

  • Prices of the Goods are shown on the Website in hryvnia (UAH). On the English version of the Website prices may additionally be shown in EUR or USD, converted at the official National Bank of Ukraine (NBU) rate for information only. For Orders from abroad the price is fixed at the official NBU rate on the day the invoice is issued and is paid in EUR or USD (the Buyer’s choice) by SWIFT bank transfer.
  • The Seller has the right to change prices; a changed price does not apply to Orders already confirmed.
  • Payment is made in one of the ways agreed with a manager: for Orders in Ukraine, by transfer to the Seller’s card, by bank transfer against an invoice or by cash on delivery; for Orders from abroad, by SWIFT bank transfer against an invoice. The Seller’s bank details are given in the invoice and are not part of this offer.
  • For the Order the Buyer receives an invoice and a delivery note (electronic copies by email, originals in the parcel). Payment details are sent after the Order is confirmed.

Prepayment is required for made-to-order Goods.

All bank charges of a SWIFT transfer are paid by the payer (OUR): the Buyer pays their own bank, the intermediary banks and the Seller’s bank, so that the full amount of the invoice reaches the Seller’s account.

5. Delivery

  • The Goods are delivered by the carrier Nova Poshta to a branch, a parcel locker or by courier to the address chosen by the Buyer in the Nova Poshta module. Pickup from the warehouse — by arrangement.
  • The Buyer pays for delivery at the carrier’s rates on receipt. The Seller adds no mark-up of its own to delivery.
  • The risk of accidental loss or damage of the Goods passes to the Buyer from the moment the Goods are handed to the carrier, except where the Goods are damaged through the Seller’s fault.
  • The Buyer must inspect the parcel on receipt. In case of damage a report must be drawn up with the carrier’s representative and the Seller must be informed.

The Seller dispatches the Goods on the day the Order is agreed if payment or confirmation of cash on delivery is received before 18:00; otherwise on the next working day.

We ship with a declared value that always equals the value of the equipment. If it is damaged in transit, compensation is arranged under the carrier’s insurance: we will help you file the claim, and all you need to do is draw up the report on receipt.

Shipping outside Ukraine is arranged on request on terms agreed with the Buyer for each Order.

6. Returns and exchange

  • The Buyer has the right to return the Goods within 14 days from receipt if they do not suit. The Goods must remain in the same condition in which they were received.
  • To return the Goods, the Buyer contacts the Seller at the phone number shown on the Website and states the Order number and the reason for the return.
  • The Buyer pays for delivery when returning. The money is refunded within 3 working days after the Seller receives the Goods.
  • Returns apply to used Goods, but do not apply to made-to-order Goods.
  • Return of Goods of proper quality is carried out in accordance with the Law of Ukraine “On Consumer Rights Protection”.
  • The same terms apply to Orders shipped abroad. The Buyer pays for shipping when returning the Goods; in a warranty case the Seller pays for shipping if a factory defect is confirmed.

7. Warranty

Warranty periods and the procedure for warranty service are on the “Warranty and returns” page: for new equipment — 12 months of the supplier’s warranty (if the Goods were bought from official distributors) and 6 months from the Seller; for used equipment — the period is shown on the product page. A claim is reviewed within 7 days. Before dispatch the Seller checks that the Goods work. A warranty case is resolved by repair or replacement, and if there is no replacement, by a refund. Repair of equipment outside the warranty — see “Repair”.

8. Buyers outside Ukraine: Consumers and Business Buyers

  • Consumers. A Consumer may return the Goods within 14 days in accordance with section 6 and may use the warranty described in section 7. The mandatory consumer-protection rules of the Consumer’s country of residence that cannot be excluded by agreement are not affected by this offer.
  • Business Buyers. By placing an Order as a company (and giving a VAT ID) or as an individual acting for business purposes, the Buyer confirms that they buy as a business. Consumer-protection rules do not apply to a Business Buyer to the extent the law allows.
  • The Seller’s liability towards a Business Buyer is limited to the price of the Goods ordered, except where the law does not allow such a limit (for example, in case of intent or gross negligence, or for death or personal injury). The Seller is not liable to a Business Buyer for indirect losses or loss of profit.
  • Import duties, taxes and customs formalities in the destination country are the responsibility of the Buyer, unless the parties agree otherwise in writing.

9. Liability of the parties

  • For failure to perform or improper performance of obligations the parties are liable in accordance with the legislation of Ukraine.
  • The Seller is not liable for the consequences of the Buyer’s wrong choice of Goods if the Goods match their description, nor for the consequences of using the Goods in breach of their technical requirements.
  • The Buyer is responsible for the accuracy of the data given in the Order.

10. Force majeure

The parties are released from liability for full or partial failure to perform obligations if it results from force majeure (hostilities, natural disasters, acts of public authorities, failures of carriers and communication networks, other circumstances beyond the parties’ control). The time for performance is extended for the duration of such circumstances. A party affected by such circumstances notifies the other party without delay.

11. Personal data

By placing an Order the Buyer agrees to the processing of their personal data for the performance of the contract. The terms of processing are in the “Privacy policy”.

12. Dispute resolution

  • Disputes are resolved by negotiation. The Buyer may send claims to the phone number shown on the Website.
  • If no agreement is reached, the dispute is considered in court in accordance with the legislation of Ukraine. The consumer rights established by the Law of Ukraine “On Consumer Rights Protection” are preserved.

13. Term

The offer is valid from the moment it is placed on the Website until it is withdrawn or replaced by a new revision. The Seller may change the terms of the offer; the new revision is valid from the moment it is published on this page and does not apply to Orders confirmed before its publication. The contract is valid until the parties have fully performed their obligations.
